Terms & Conditions 

1. This document is a contract to purchase advertising in a newsletter produced and controlled by Save Proposition 13 Segregated Fund Account (hereinafter SP13F), between the Client listed above and SP13F Account EIN# 33-088-9683, a nonprofit Section 527 political organization which is the separate segregated fund established by Save Proposition 13 Candidate & Legislation Evaluation Committee, a nonprofit corporation, consistent with Federal law and USPS Customer Support Rulings PS-128 and PS-124.

SP13F is dedicated to widespread dissemination of information to the public in support of California's historic Proposition 13. Authored by the legendary Howard Jarvis and passed by California voters in 1978, Proposition 13 cut property taxes by two-thirds and put a limit on future real property tax increases. SP13F seeks broader understanding of and support for maintaining the Proposition 13 tax cut.  Through its newsletters and slate mail advertisements, SP13F offers candidate and measure advertisers the opportunity to associate themselves with the tax cut movement and tell high propensity voters who care about Proposition 13 what their position is on maintaining the Proposition 13 tax cut.  SP13F has complete and exclusive control over the content portion of the Newsletter and of its Newsletter mailing in general.

3. Client seeks to place and purchase advertising in the advertising portion of SP13Fs Newsletter consistent with the terms stated herein on the invoice incorporated by reference into this contract.  Client may submit any advertising content it chooses in the advertising portion of the Newsletter mailing, and is solely responsible and liable for its advertising content.  Client has full and complete responsibility for the copy and content of the advertising portion purchased in the newsletter, including responsibility for any of the usual disclaimer or disclosure statements for the advertising portion as may be required.  All payments made hereunder for such advertising shall be made in the ordinary course of business.

4. SP13F or its agents are responsible for devising, designing, and paying for its Newsletter, including all postage.  Client agrees to pay the fee for advertising in the Newsletter and shall not be entitled to any commission, profit or revenue in connection with the Newsletter mailing.  Any risks associated with the Newsletter mailing are the responsibility of SP13F or its agents.  All managerial decisions regarding the Newsletter mailing, including the nonadvertising content portion of the mailing, are exclusively SP13Fs or its agents, and Client shall have no control at all regarding the nonadvertising content of the Newsletter mailing, including graphics.  Client has no control over the mailing list used.

5. This contract to purchase advertising in SP13Fs Newsletter shall be governed and construed under California law and shall bind the parties.

6. All claims, disputes and other matters in question between the parties to this contract shall be decided by an arbitrator in Orange County, California in accordance with the Rules of the American Arbitration Association then in effect.  No arbitration of this contract shall include joinder of any other party except by written consent by the person sought to be joined.  Notice of the demand for arbitration shall be filed in writing with the other party with the American Arbitration Association.  The demand shall be made within a reasonable time after the claim, dispute or matter in question has arisen.  In no event shall a demand for arbitration be made when the matter in question would be barred by the applicable statute of limitations.

7. Should any term or provision herein deemed invalid, void or unenforceable, the remainder of this contract shall nonetheless remain in full force and effect.
